Terms and Conditions

1) Acceptance of Terms

By accessing or using the Work Courses platform (the "Platform"), including but not limited to creating an account, viewing or publishing courses, or interacting with any Platform content or functionality, you signify your agreement to be bound by these Terms of Service (the "Terms") and all applicable laws and regulations. If you do not agree with any part of these Terms, you are prohibited from using the Platform and must immediately cease all access and use. Failure to abide by the Terms outlined below may and/or will result in the termination of your access/utilization of the platform.

2) Intellectual Property

All content published on the Platform, including but not limited to course videos, audio, text, images, and downloadable files (collectively, "Course Content"), remains the intellectual property of the respective content creators ("Creators"). By publishing Course Content on Work Courses, Creators grant the Platform a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, distribute, reproduce, modify, adapt, publicly perform, and publicly display such Course Content. Creators represent and warrant that they have all necessary rights and licenses to grant the above license and that their Course Content does not infringe upon or violate any intellectual property rights, privacy rights, publicity rights, or other proprietary rights of any third party.

3) Payments and Refunds

Courses on Work Courses are paid for using supported cryptocurrencies, including but not limited to $WORK and $ADA (collectively, "Cryptocurrency"). All Course purchases are final and non-refundable. Users acknowledge the volatility and risk associated with Cryptocurrencies and agree that Work Courses is not responsible or liable for any fluctuations in Cryptocurrency valuations or any resulting losses. Work Courses reserves the right to change, suspend, or discontinue the accepted Cryptocurrencies at any time and for any reason, without notice or liability to Users.

4) Content Creator Agreement

4.1 Creator Accounts

To publish Course Content on the Platform, Creators must create an account and provide accurate, current, and complete information as prompted by the registration form. Creators are responsible for maintaining the confidentiality and security of their account credentials and for all activities that occur under their account.

4.2 Content Ownership

Creators retain ownership of all intellectual property rights in their published Course Content, subject to the license granted to Work Courses in Section 2 above.

4.3 Revenue Sharing

Creators will receive a portion of the net revenue generated from purchases of their Courses. Work Courses retains a varying Platform fee (see https://docs.Work Courses/instructors/fees-structure for more information) to cover operational costs, platform development and maintenance, payment processing, and other administrative expenses. Payouts will be made in the Cryptocurrency used for the Course purchase, provided the Creator's account abides by the terms outlined.

4.4 Creator Responsibilities

Creators are solely responsible for the content, quality, accuracy, and legality of their published Courses. They represent and warrant that their Course Content is original and not AI generated, does not infringe upon any third-party intellectual property rights, and complies with all applicable laws and regulations. Creators agree to indemnify and hold harmless Work Courses and its affiliates, officers, agents, employees, and partners from any claim, demand, loss, liability, damage, or expense arising out of their use of the Platform or the publication of their Course Content. Any false guarantees, illegal usage of copyrighted/third-party content, or illicit production of content may automatically forfeit the Creator’s right to access, utilize, and profit from the Work Courses platform.

5) Acceptable Use Policy

5.1 Prohibited Content

Users may not publish or distribute any Course Content or other materials that: (a) Infringe upon any intellectual property rights or other proprietary rights of Work Courses or any third party; (b) Are unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable; (c) Contain any malware, viruses, trojan horses, worms, time bombs, cancelbots, or other computer programming routines that may damage, interfere with, surreptitiously intercept, or expropriate any system, data, or personal information; (d) Violate any applicable local, state, national, or international law or regulation.

5.2 Prohibited Activities

Users may not use the Work Courses Platform to: (a) Engage in any illegal, fraudulent, or deceptive activity, including money

laundering, terrorist financing, or illegal trade; (b) Impersonate any person or entity or falsely state or misrepresent their

affiliation with a person or entity; (c) Interfere with or disrupt the integrity or performance of the Platform or the data

contained therein; (d) Attempt to gain unauthorized access to the Platform, other Users' accounts,

or Work Courses' computer systems or networks; (e) Collect or store personal data about other Users without their express

permission.

5.3 Enforcement

Work Courses reserves the right, but has no obligation, to investigate and take appropriate legal action in its sole discretion against anyone who violates this Acceptable Use Policy, including removing any offending Course Content, terminating User accounts, and reporting illegal activities to law enforcement authorities.

6.1 DMCA Compliance

Work Courses complies with the provisions of the Digital Millennium Copyright Act ("DMCA") applicable to Internet service providers. If you have a good faith belief that your copyrighted work has been reproduced on the Platform without authorization, you may submit a written notice to our designated Copyright Agent at [contact email], containing the following information:

(a) A physical or electronic signature of a person authorized to act on behalf of the owner of the copyrighted work;

(b) Identification of the copyrighted work alleged to have been infringed, or a representative list of such works;

(c) Identification of the allegedly infringing material and information reasonably sufficient to permit us to locate the material;

(d) Your contact information, including address, telephone number, and email

address;

(e) A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law;

(f) A statement that the information in the notification is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

6.2 Counter-Notices

If you believe your Course Content was removed or access to it was disabled by mistake or misidentification, you may submit a counter-notice to the Copyright Agent, including:

(a) Your physical or electronic signature;

(b) Identification of the material removed or disabled and the location where it appeared before removal;

(c) A statement under penalty of perjury that you have a good faith belief the material was removed or disabled as a result of mistake or misidentification;

(d) Your contact information and consent to jurisdiction of the courts located in the United Kingdom.

6.3 Repeat Infringers

In accordance with the DMCA, Work Courses will terminate the accounts of Users who are determined to be repeat copyright infringers.

7) Third-Party Content and Services

The Platform may contain links to third-party websites, products, or services that are not owned or controlled by Work Courses. The Platform may also allow interactions between the Platform and a third-party website or service, including applications that connect the Platform or User's profile on the Platform with a third-party site. Work Courses has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party sites or services. By using the Platform, you expressly relieve Work Courses from any and all liability arising from your use of any third-party website, product, or service. Work Courses encourages you to be aware when you leave the Platform and to read the terms and conditions and privacy policy of any third-party website or service that you visit.

8) Limitation of Liability

8.1 No Warranties: The Work Courses Platform and all Course Content are provided on an "as is" and "as available" basis, without warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8.2 Limitation of Liability: In no event shall Work Courses, its affiliates, officers, directors, employees, agents, or licensors be liable to you or any third party for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or in connection with your use of the Platform or any Course Content.

8.3 Indemnification: You agree to defend, indemnify, and hold harmless Work Courses, its affiliates, officers, directors, employees, and agents from and against any claims, actions, or demands, including without limitation reasonable legal and accounting fees, arising out of your use of the Platform, your violation of these Terms, or your publication of any Course Content.

9) Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without giving effect to any principles of conflicts of law. Any dispute arising out of or relating to these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with the rules of the [Arbitration Association]. The arbitration shall take place in the United Kingdom, and judgment on the arbitration award may be entered into any court having jurisdiction thereof.

10) Changes to Terms

Work Courses reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use the Platform after any revisions become effective, you agree to be bound by the revised Terms.

11) Miscellaneous

11.1 Entire Agreement

These Terms constitute the entire agreement between you and Work Courses regarding the use of the Platform and supersede any prior agreements.

11.2 Waiver and Severability

No waiver by Work Courses of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition. If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the relevant provision shall be deemed deleted and the remaining provisions shall remain in full force and effect.

11.3 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without Work Courses' prior written consent. Work Courses may assign these Terms at any time without notice or consent.

12) Taxation

Users are solely responsible for determining what, if any, taxes apply to their Course purchases, sales, or earnings through the Platform. It is the User's responsibility to collect, report, and remit the correct taxes to the appropriate tax authorities. Work Courses cannot and does not provide tax advice. Users are encouraged to seek independent legal and tax advice if they have any questions regarding their tax obligations.

13) Platform Intellectual Property

The Work Courses Platform interface, logos, trademarks, and other distinctive brand features are the exclusive property of Work Courses. These assets cannot be used without the express written permission of Work Courses. All rights not expressly granted herein are reserved by Work Courses. retains all right, title, and interest in and to the Platform, including but not limited to all copyrights, trademarks, trade secrets, trade names, proprietary rights, and other intellectual property rights. Nothing in these Terms constitutes a transfer of any intellectual property rights from work.courses to the User.

14) User Feedback

By submitting any feedback, comments, or suggestions regarding the Platform, Users grant Work Courses a royalty-free, perpetual, irrevocable, worldwide license to use, reproduce, modify, publish, distribute, and otherwise exploit such feedback for any purpose, without any attribution or compensation to the User.

15) Course Completion and Certificates

Upon successfully completing a Course, Users may be awarded a completion certificate at the sole discretion of the Course Creator. These certificates are for personal use only and do not confer any academic credit or professional qualification. Users may not misrepresent the nature or value of any certificate earned through the Platform.

Users represent and warrant that their use of Cryptocurrencies on the Platform is legal and compliant with all applicable laws and regulations in their jurisdiction. Work Courses reserves the right to refuse service to anyone who violates this provision or is located in a jurisdiction where the use of the Platform or Cryptocurrencies is prohibited.

17) Termination

Work Courses reserves the right, without notice and in its sole discretion, to terminate or suspend the Platform and any User's ability to access the Platform, for any reason, including, without limitation, for any breach of these Terms. Work Courses shall not be liable to any User or third party for such termination or suspension.

18) Survival

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

19) Translation

These Terms of Service were originally written in English. We may translate these terms into other languages. In the event of a conflict between a translated version and the English version, the English version will control.

20) Force Majeure

Work Courses shall not be liable for any failure or delay in performance under these Terms arising out of causes beyond its reasonable control and without its fault or negligence, including acts of God, acts of government, fires, floods, epidemics, pandemics, quarantine restrictions, strikes, shortages of supply, breakdowns, war, riots, embargoes, or internet or telecommunications failures.

21) User Disputes

Work Courses is not responsible for any disputes between Users. Users should attempt to resolve any disputes directly with each other. Work Courses reserves the right, but has no obligation, to mediate disputes between Users.

22) Modifications to the Platform

Work Courses reserves the right to modify, suspend, or discontinue any part of the Platform at any time, without notice or liability to Users. Work Courses may also impose limits on certain features and services or restrict access to parts or all of the Platform without notice or liability.

23) International Use

The Platform is controlled and offered by Work Courses from its facilities in the United Kingdom. Work Courses makes no representations that the Platform is appropriate or available for use in other locations. Users accessing the Platform from other jurisdictions do so at their own risk and are responsible for compliance with local laws, including export control and trade sanctions regulations.

24) Competitive Restrictions

Users are prohibited from using the Platform to promote, market, or otherwise share content, products, or services that directly compete with Work Courses. Work Courses reserves the right to remove any such content without providing reasoning or notification to the User. International Use The Platform is controlled and offered by Work Courses from its facilities in the United Kingdom. Work Courses makes no representations that the Platform is appropriate or available for use in other locations. Users accessing the Platform from other jurisdictions do so at their own risk and are responsible for compliance with local laws, including export control and trade sanctions regulations.

25) Waiver of Class Action Rights

Any proceedings to resolve or litigate any dispute arising hereunder will be conducted solely on an individual basis. You agree that you shall not seek to have any dispute heard as a class action, a representative action, a collective action, a private attorney-general action, or in any proceeding in which you act or propose to act in a representative capacity. Equitable Relief Users acknowledge that a breach or threatened breach of these Terms may cause irreparable harm to Work Courses, for which monetary damages would be inadequate. In the event of such a breach or threatened breach, Work Courses shall be entitled to seek injunctive relief, without the need for posting a bond, in addition to any other available remedies.

26) Equitable Relief

Users acknowledge that a breach or threatened breach of these Terms may cause irreparable harm to Work Courses, for which monetary damages would be inadequate. In the event of such a breach or threatened breach, Work Courses shall be entitled to seek injunctive relief, without the need for posting a bond, in addition to any other available remedies.

27) Ratings and Reviews

Users may have the ability to rate and review Courses on the Platform. Work Courses does not endorse or verify any ratings or reviews posted by Users. Work Courses reserves the right to remove any rating or review at its sole discretion.

28) Mobile Access

The Platform may offer features and services that are available to Users via their mobile devices. Users' mobile carriers' normal rates and fees may apply, and Users are responsible for all such charges.

29) Referral Program

Work Courses may offer a referral program that allows Users to earn rewards for referring new users to the Platform. Work Courses reserves the right to terminate the referral program or any User's participation in the program at any time for any reason.

30) Contests and Promotions

Work Courses may offer contests, sweepstakes, or other promotions on the Platform. These will be subject to separate rules and eligibility requirements that will be made available at the time of the promotion. Work Courses has full authority over how sanctioned contests and promotions are conducted, how users can participate and become eligible in said contests and promotions, as well as the distribution of the rewards earned by users who participate in these contests, sweepstakes, or other promotions. Users who are allocated a reward in such events must be fully compliant with the Terms outlined in the Agreement between the User and Work Courses, and must be rewarded the item/reward on fair grounds. Any User found to have manipulated a promotional event for personal gain will forfeit their right to a reward.

31) Notices

All notices to Work Courses must be communicated by [enter email here] or by making a ticket in the official Work Courses Discord Server linked here: https://discord.gg/workingdead. Notices to Users will be sent to the email address associated with their account. Notices sent via email will be deemed received 24 hours after they are sent.

32) Relationship of the Parties

Nothing in these Terms shall be construed as creating a joint venture, partnership, employment, or agency relationship between Users and Work Courses. Users and Work Courses are independent contractors, and neither party has the authority to bind the other.

33) Headings

The section and paragraph headings in these Terms are for convenience only and shall not affect their interpretation.

34) Complete Agreement

These Terms, together with the Privacy Policy and any other legal notices or additional terms published by Work Courses on the Platform, constitute the entire agreement between the User and Work Courses with respect to the use of the Platform.

35) White Label Service

Work Courses offers a white label service that allows third parties (hereinafter "Clients") to utilize the Platform's technology and infrastructure under their own brand, subject to the terms outlined in this section.

36.1 Liability

Work Courses is not liable for any issues, disputes, or damages arising out of a User's experience with a Client's white label instance of the Platform. This includes, but is not limited to, issues with Course Content, payment processing, user interactions, or technical problems specific to the white label instance. Users agree to hold Work Courses harmless from any claims or liabilities related to their use of a white label Platform.

36.2 Data Privacy

All data collected through a white label instance of the Platform will be handled in accordance with Work Courses' Privacy Policy. Clients agree to adhere to this Privacy Policy and to obtain User consent for any additional data collection or usage specific to their white label instance.

36.3 Content Responsibility

Clients are solely responsible for the production, moderation, and legality of all content posted on their white label instance of the Platform, including but not limited to Course Content, user-generated content, and marketing materials. Clients agree to indemnify and hold harmless Work Courses from any claims, damages, or liabilities arising from such content.

36.4 Intellectual Property

Clients must respect the intellectual property rights of Work Courses and its licensors. Clients may not modify, reverse engineer, or otherwise interfere with the Platform technology provided by Work Courses, except as expressly permitted in the white label service agreement.

36.5 Branding

Clients are responsible for providing their own branding elements, including but not limited to logos, color schemes, and domain names. Clients represent and warrant that they have all necessary rights to use such branding elements and that their use does not infringe on the intellectual property rights of any third party.

36.6 Technical Limitations

Work Courses does not guarantee that the white label Platform will be error-free or operate without interruption. Work Courses is not responsible for any issues arising from a Client's modifications to the Platform, use of third-party integrations, or exceeding of any technical limitations outlined in the white label service agreement.

37) Content Piracy and Reselling

Users are strictly prohibited from pirating, reselling, or otherwise distributing any content from the Platform without the express written permission of the content owner and Work Courses. This includes but is not limited to Course Content, downloadable materials, and any other intellectual property hosted on the Platform.

37.1 Consequences of Piracy

If a User is found to have pirated or resold content from the Platform, they will be permanently blacklisted from utilizing any of the Working Dead or Work Courses services. The User's access to the Platform and all associated services will be immediately terminated, and this termination will be permanent and irrevocable.

37.2 Notification to Content Owner

In the event of content piracy or reselling, Work Courses will notify the affected content owner and provide them with all relevant information

collected about the incident, to the extent permitted by law. This is to assist the content owner in taking any necessary legal actions to protect their intellectual property rights.

37.3 Legal Consequences

Users acknowledge that pirating or reselling content from the Platform may result in serious legal consequences. Such actions can cause significant reputational damage to the content owner, the Work Courses platform, and the Working Dead ecosystem. They may also have a severe financial impact on other creators who use the Platform. Work Courses reserves the right to pursue all available legal remedies against Users who engage in content piracy or reselling.

37.4 Severity of Violation

Work Courses takes content piracy and reselling extremely seriously. We are committed to protecting the intellectual property rights of our content creators and maintaining the integrity of our Platform. Any violations of this clause will be dealt with swiftly and severely, including permanent termination of access to all Working Dead services and the Work Courses ecosystem.

38) Indemnification

Users agree to indemnify, defend, and hold harmless Work Courses, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to the User's violation of these Terms or use of the Platform, including but not limited to any User Content posted on the Platform.

39) Limitation of Liability

In no event shall Work Courses, its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from the use or inability to use the Platform, the content on the Platform, or any other matter related to the Platform, whether based on warranty, contract, tort (including negligence), product liability, or any other legal theory.

40) Platform Disclaimers

The Platform is provided on an "as is" and "as available" basis. Work Courses makes no representations or warranties of any kind, express or implied, as to the operation of the Platform or the information, content, materials, or products included on the Platform. Work Courses disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

41) $WORK Token Disclaimer

$WORK is a utility token that is part of The Working Dead ecosystem. Its sole purpose is to perform certain functions within The Working Dead ecosystem. By using the Work Courses Platform, you acknowledge and agree that:

41.1

$WORK is not a financial instrument or currency, and is not intended for trading or investment purposes outside of The Working Dead ecosystem.

41.2

There is no guarantee of value, liquidity, or future performance of $WORK. The value of $WORK may be volatile and subject to market forces beyond the control of The Working Dead or Work Courses.

41.3

Holding or owning $WORK does not provide any interest in The Working Dead's collections or assets, or any rights to profits, dividends, or other financial returns.

41.4

Upon acquiring $WORK, you may use it immediately within The Working Dead ecosystem for its intended utility functions, as described by The Working Dead.

41.5

The Working Dead and Work Courses make no representations or warranties about the value, tradability, or future performance of $WORK. You assume all risks associated with acquiring, holding, and using $WORK. By using the Work Courses Platform and acquiring $WORK, you acknowledge that you have read, understood, and agree to this $WORK Token Disclaimer.

42) Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.

43) Assignment

Users may not assign or transfer these Terms, by operation of law or otherwise, without Work Courses' prior written consent. Work Courses may assign these Terms at any time without notice or consent. Any attempted assignment by a User in violation of this clause shall be null and void.

44) Third-Party Services

The Platform may contain links to or integrations with third-party websites, services, or applications. Work Courses does not endorse, is not responsible for, and has no control over these third-party services. Users' interactions with these services are solely between the User and the third party and are subject to that third party's own terms and conditions. Work Courses disclaims any liability for any damage or loss caused by Users' use of these third-party services.

45) Platform Updates

Work Courses is a platform with a long term vision that is constantly maintained, monitored, and upgraded. Work Courses reserves the right to modify, suspend, or discontinue the Platform, in whole or in part, at any time and without prior notice. Work Courses shall not be liable to Users or any third party for any modification, suspension, or discontinuation of the Platform.

46) Impersonation Restrictions

Work Courses is a platform designed to promote educators and content creators, enabling them to advertise their content and monetize it if they please. Creators rely on personal branding or their institutional backing and clientele that makes them credible and experts in their respective fields. Impersonation of other content creators that result in copyright infringement, invasion of privacy, identity theft, intellectual property infringement, reputational and/or financial damages to the Creator being impersonated, or any instance in which the utilization of the intellectual property or copyrighted material of a Creator harms said Creator and/or benefits the Impersonator. Impersonators who engage in piracy, intellectual property and copyright infringement, impersonation of established creators, and/or any instance of impersonation beyond Parodying purposes

46.1

Parodying includes but is not limited to examples such as using pseudonyms that are similar to extremely famous celebrities for parodying purposes - which do not include celebrities or notable figures in the cryptocurrency industry or any respective blockchain Work Courses can be utilized with. Work Courses has full and sole discretion to determine which instance of impersonation is intellectual property infringement, piracy, copyright infringement, or any other instance of harmful Impersonation rather than harmless Parodying. The User agrees to be bound by these terms of Impersonation and acknowledges as well as agrees to waiver any right to discretion in deciding if the Impersonation of a Creator is harmful to said Creator.

47) User Verification

Work Courses does not verify the identity, background, or qualifications of any Users, including Course Creators. Users understand and acknowledge that Work Courses is not responsible for any misrepresentations, false information, or illegal conduct by other Users. Users interact with others on the Platform at their own risk. If a User finds another User to be engaging in illicit activities or activities that violate the Working Dead Terms, the Work Courses Terms, or any other agreement explicitly made between the Working Dead, Work Courses, and the User can be reported to Work Courses staff.

48) Survival

All provisions of these Terms which by their nature should survive termination shall survive termination, including but not limited to intellectual property ownership provisions, disclaimers, indemnification obligations, and limitations of liability.

49) Waiver

The failure of Work Courses to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. A waiver of any right or remedy is effective only if it is in writing and signed by a duly authorized representative of Work Courses.

50) Time Limit for Claims

You agree that any cause of action arising out of or related to the Platform, these Terms, or your relationship with Work Courses must commence within three months after the cause of action accrues. Otherwise, such cause of action is permanently barred.

By using Work Courses, you acknowledge that you have read these Terms of Service, understand them, and agree to be bound by them.
